This End User License Agreement ("EULA" or "Agreement") governs your use of the UAML software, documentation, and related services (collectively, the "Software") provided by GLG, a.s. By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement.
1. Definitions
- "Software" means UAML — Universal Agent Memory Layer, including all source code, binaries, documentation, configuration files, and updates provided by GLG.
- "Community Edition" means the version of the Software made available under the Apache License 2.0.
- "Commercial Edition" means the paid subscription tiers of the Software, including additional features, modules, and support services.
- "User" or "You" means the individual or legal entity that has accepted this Agreement.
- "Subscription" means the paid license granting access to the Commercial Edition for a defined period.
2. Dual Licensing Model
2.1 Community Edition — Apache License 2.0
The Community Edition of UAML is licensed under the Apache License, Version 2.0. You may use, modify, and distribute the Community Edition in accordance with the terms of the Apache License 2.0, available at apache.org/licenses/LICENSE-2.0.
2.2 Commercial Edition — Commercial License
The Commercial Edition is licensed under this EULA and requires an active paid Subscription. The Commercial License grants you:
- A non-exclusive, non-transferable, revocable right to use the Commercial Edition;
- Access to commercial-only modules, features, and integrations;
- Priority support as specified in your Subscription plan;
- Use within the scope defined by your Subscription tier (number of agents, users, or instances).
3. License Scope and Permitted Use
Subject to the terms of this Agreement, GLG grants you a limited, non-exclusive, non-transferable license to:
- Install and use the Software on systems under your control;
- Use the Software for its intended purpose — providing structured memory capabilities to AI agents;
- Create backup copies for archival purposes;
- Integrate the Software with your own applications and workflows.
4. Restrictions
You shall not:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Commercial Edition modules, except to the extent expressly permitted by applicable law;
- Redistribute, sublicense, rent, lease, or lend Commercial Edition modules or any derivative works thereof;
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software;
- Use the Software in a manner that infringes the intellectual property rights of GLG or any third party;
- Use the Software to provide a competing service (e.g., reselling UAML functionality as a service to third parties) without prior written consent from GLG;
- Circumvent or disable any licensing, authentication, or usage-tracking mechanisms in the Software.
5. Intellectual Property
The Software, including all intellectual property rights therein, is and shall remain the exclusive property of GLG, a.s. This Agreement does not transfer any ownership rights to you. All rights not expressly granted herein are reserved by GLG.
Community Edition contributions are governed by the Apache License 2.0 and the applicable Contributor License Agreement.
6. Subscription and Payment
Commercial Edition access requires a valid, paid Subscription. Payments are processed through ComGate (comgate.cz). Subscription terms, pricing, and renewal conditions are specified in the applicable Terms and Conditions.
7. Updates and Modifications
GLG may, at its sole discretion:
- Release updates, patches, or new versions of the Software;
- Modify the features, functionality, or scope of any edition or tier;
- Update this EULA with reasonable prior notice.
Continued use of the Software after any modification constitutes your acceptance of the updated terms. Material changes will be communicated via email or through the Software interface at least 30 days before they take effect.
8. Termination
This Agreement is effective until terminated. It may be terminated as follows:
- By you: at any time by ceasing all use of the Software and destroying all copies in your possession;
- By GLG: immediately upon written notice if you breach any term of this Agreement and fail to cure such breach within 14 days of notification;
- Automatic termination: upon expiration of your Subscription without renewal (for the Commercial Edition).
Upon termination, your rights under this Agreement cease immediately. You must promptly delete all copies of Commercial Edition modules. Provisions relating to intellectual property, limitation of liability, and governing law survive termination.
Community Edition use remains governed by the Apache License 2.0 and is unaffected by termination of this EULA.
9. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
GLG does not warrant that the Software will be uninterrupted, error-free, or free of harmful components. You assume the entire risk as to the quality and performance of the Software.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GLG, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE.
GLG's total aggregate liability under this Agreement shall not exceed the total fees paid by you to GLG in the twelve (12) months preceding the event giving rise to the claim, or CZK 10,000, whichever is greater.
11. Data and Privacy
UAML is designed with a local-first architecture. Your data is stored locally on your systems and is never transmitted to GLG's servers unless you explicitly enable cloud synchronization features.

12. Consumer Withdrawal
If you are a consumer, you may exercise your right of withdrawal in accordance with applicable law. Please refer to our Withdrawal Policy for details.
13. Complaints
If you wish to file a complaint regarding the Software or related services, please refer to our Complaints Procedure.
14. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law principles. Any disputes arising from or in connection with this Agreement shall be resolved by the competent courts of the Czech Republic.
For consumers residing in the European Union, mandatory consumer protection laws of the consumer's country of residence shall apply to the extent they provide a higher level of protection.
15. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
This Agreement, together with the Terms and Conditions, Privacy Policy, and any applicable Subscription order, constitutes the entire agreement between you and GLG with respect to the Software.
